Succession planning is a vital part of providing an exit strategy for business owners, ensuring that a company has a strong continuation strategy in place once the founder or current owner decides to step back.

With recent changes to Inheritance Tax announced, an increasingly sought-after succession plan is to set up the business as an Employee-Owned Trust (EOT).

Introduced in the Finance Act of 2014, an EOT places the business into the ownership of its employees – managed by its Trustees. Employees do not manage the company, as this remains the role of company managers. Instead, an EOT allows the company’s controlling interests to be held by employees who become beneficiaries of a trust.

Setting up an EOT can prove a valuable option for company owners, as the shareholder is exempt from paying Capital Gains Tax if selling a business to an EOT as long as conditions are met.
